Terms of Service
These Terms of Service ('Terms') govern your access to and use of DigiSutra Solutions' website (digisutrasolutions.com) and digital marketing services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and DigiSutra Solutions.
01.Acceptance of Terms
By accessing our website, submitting a contact form, signing a service agreement, or using any of our services, you confirm that you are at least 18 years of age, have the legal authority to enter into contracts on behalf of yourself or your organisation, and agree to be bound by these Terms and all applicable laws and regulations.
These Terms apply to all visitors, users, clients, and anyone else who accesses or uses our services. We reserve the right to modify these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the revised Terms.
02.Services Description
DigiSutra Solutions provides the following digital marketing and related services:

- →Video Marketing — Production, distribution, YouTube management
- →Brand Identity & Design — Logo, visual identity, brand guidelines
- →Performance Analytics — GA4 setup, reporting, attribution
- →Influencer Marketing — Campaign management, creator partnerships
- →WhatsApp Marketing — Business API, automation, broadcasts
- →SMS Marketing — Bulk campaigns, automation, compliance

Specific services, deliverables, timelines, and pricing are defined in individual Service Agreements or Statements of Work executed between DigiSutra Solutions and the client.
03.Client Obligations
To enable DigiSutra Solutions to deliver services effectively, you agree to:
- →Provide accurate, complete, and timely information, access credentials, and approvals required for service delivery
- →Designate a primary point of contact for communication and decision-making
- →Respond to requests for feedback, approvals, or information within agreed timeframes
- →Ensure all materials, content, and assets provided to us are owned by you or you have rights to use them
- →Not engage in any activities that could harm the reputation, search rankings, or standing of DigiSutra Solutions
- →Pay all invoices within the agreed payment terms
- →Notify us promptly of any changes to your business, products, or target audience that may affect campaign strategy
- →Comply with all applicable laws in your use of our services and the campaigns we create for you
04.Payment Terms
All fees for services are as specified in the applicable Service Agreement or invoice.
- →Payment is due within 15 days of invoice date unless otherwise specified in the Service Agreement
- →Monthly retainer fees are payable in advance on the 1st of each month
- →Project-based fees may require a deposit of 30–50% before work commences
- →Late payments attract interest at 18% per annum or the maximum permitted by law
- →DigiSutra Solutions reserves the right to suspend services for accounts overdue by more than 30 days
- →All fees are exclusive of applicable taxes (GST, TDS, VAT, or other taxes as applicable)
- →Advertising spend budgets are held separately from management fees and are billed at cost
- →Currency for invoicing will be as specified in the Service Agreement (INR for India, USD for international)
We accept payment via bank transfer (NEFT/RTGS/IMPS), UPI, international wire transfer, and major credit/debit cards. All payments are processed securely.
05.Intellectual Property Rights
Our Intellectual Property
DigiSutra Solutions retains all intellectual property rights in our methodologies, frameworks, templates, software tools, proprietary processes, and pre-existing content. Nothing in these Terms transfers ownership of DigiSutra Solutions' intellectual property to you.
Client Intellectual Property
You retain all intellectual property rights in content, materials, logos, trademarks, and assets that you provide to us. You grant DigiSutra Solutions a limited, non-exclusive licence to use such materials solely for the purpose of delivering contracted services.
Deliverables Ownership
Upon full payment of all applicable fees, you own the final deliverables created specifically for you (e.g., custom website code, campaign creative, written content). This excludes any third-party licenced content, stock assets, or DigiSutra's proprietary tools incorporated into deliverables.
Portfolio Rights
DigiSutra Solutions reserves the right to feature completed work in our portfolio, case studies, and marketing materials unless you request confidentiality in writing. We will not disclose confidential business metrics without your prior written consent.
06.Confidentiality
Both parties agree to maintain strict confidentiality regarding non-public information shared in connection with services, including business strategies, client data, financial information, campaign performance data, and trade secrets.
This confidentiality obligation survives termination of the service relationship for a period of 3 years. Information that is publicly available, independently developed, or received from third parties without restriction is not considered confidential.
DigiSutra Solutions implements appropriate technical and organisational measures to safeguard confidential information entrusted to us.
07.Performance and Results
While DigiSutra Solutions strives to achieve the best possible results for all clients, we cannot guarantee specific outcomes, rankings, or returns on investment.
- →Search engine algorithms and platform policies change frequently and are outside our control
- →Results depend on many factors including your industry, competition, budget, website quality, and market conditions
- →Past performance for other clients does not guarantee similar results for your business
- →Timeline estimates are projections based on current conditions and may vary
- →Third-party platforms (Google, Meta, etc.) may change policies that impact campaign performance
We commit to using industry best practices, maintaining transparency in reporting, and proactively optimising campaigns to achieve the best possible outcomes within your budget.
08.Termination
Either party may terminate services as follows:
- →Monthly retainer services: 30 days written notice prior to the next billing cycle
- →Project-based engagements: As specified in the applicable Statement of Work
- →Immediate termination: By either party in case of material breach not cured within 14 days of written notice
- →Immediate termination by DigiSutra Solutions: For non-payment overdue by more than 30 days
Upon termination, all outstanding invoices become immediately due and payable. DigiSutra Solutions will provide reasonable assistance in transitioning services and transferring assets (ad account access, files, documentation) within 14 days of termination, subject to payment of all outstanding amounts.
Sections on Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination of these Terms.
09.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGISUTRA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
DigiSutra Solutions' total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and regardless of whether DigiSutra Solutions has been advised of the possibility of such damages.
10.Indemnification
You agree to indemnify, defend, and hold harmless DigiSutra Solutions, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
- →Your violation of these Terms
- →Your violation of any applicable laws or regulations
- →Your infringement of third-party intellectual property rights
- →Content or materials you provide to DigiSutra Solutions
- →Your use of our services in a manner not authorised by these Terms
- →Any false or misleading information you provide
11.Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Dispute Resolution Process
In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiation within 30 days. If negotiation fails, disputes shall be referred to mediation through a mutually agreed mediator before initiating arbitration or legal proceedings.
Arbitration
Unresolved disputes shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (India). Arbitration shall be conducted in Noida, Uttar Pradesh, India. The arbitrator's decision shall be final and binding.
Jurisdiction
For matters not subject to arbitration, both parties submit to the exclusive jurisdiction of courts in Noida/Gautam Buddha Nagar, Uttar Pradesh, India.
12.Miscellaneous
Force Majeure: DigiSutra Solutions shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or platform policy changes.
Entire Agreement: These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and DigiSutra Solutions regarding the subject matter herein.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign these Terms or any rights hereunder without prior written consent from DigiSutra Solutions. We may assign our rights and obligations under these Terms.
